Buren advises Namibia Post and Telecom Holdings Limited (NTPH)

Buren advises Namibia Post and Telecom Holdings Limited (NTPH) on its acquisition of Samba DutchCo B.V. from Samba Luxco S.a.r.l. for more than USD 200 million.

NTPH is a Namibian state-owned entity and through the acquisition of Samba DutchCo B.V. acquired full ownership of Mobile Telecommunications (MTC). MTC is the largest Namibian mobile phone service provider. The increase of NTPH’s ownership of MTC to 100% required local competition law filings and regulatory approval from the Communications Regulatory Authority of Namibia (CRAN). CRAN (reportedly conditional) approval was initially blocked due to concerns over limiting market competition. Reportedly the transfer of MTC shares to NPTH is an interim arrangement pending subsequent transactions to dispose part of the shares to other investors.

Our services consisted of M&A and transactional services, including corporate due diligence, Dutch corporate and tax advisory services with respect to the structuring and advice on applicability of Dutch / EU merger control notification requirements.
