COVID-19 Justice and Security (Interim Measures) bill expires on 1 February 2023

Recently, the Minister of Legal Protection informed the Senate and the House of Representatives that it is the intention that the Dutch COVID-19 Justice and Security (Interim Measures) bill (the ‘’Bill’’) will not be extended as of 1 February 2023.

This Bill allowed Dutch legal entities to temporarily deviate from a number of provisions of Book 2 of the Dutch Civil Code, among which:

  • the board could decide that a general meeting could exclusively be followed via live stream (e.g. Zoom or Teams);
  • If the articles of association would include rules for convening or holding meetings of the management board and the supervisory board, these statutory provisions could be deviated from, for example by organizing meetings by electronic means.
  • the management board could decide to postpone the deadline for preparing the financial statements by a maximum of four months (in the case of a cooperative) or five months (in the case of a N.V. or B.V.); and
  • the management board of a N.V. could decide to postpone the term for holding its annual general meeting (with a maximum extension period of four months).
