COVID-19 Justice and Security (Interim Measures) bill Extended

Recently, the Dutch COVID-19 Justice and Security (Interim Measures) bill (the ‘’Bill’’) has been extended by two months. The expiry date of the Bill has been set by Royal Decree at 1 February 2022. It is expected that the Bill will be prolonged by another two months. The Bill allows Dutch legal entities to temporarily deviate from a number of provisions of Book 2 of the Dutch Civil Code, among which:

  • the board may decide that a general meeting can exclusively be followed via live stream (e.g. Zoom or Teams);
  • the management board may decide to postpone the deadline for preparing the financial statements by a maximum of four months (in the case of a cooperative) or five months (in the case of a N.V. or B.V.); and
  • the management board of a N.V. may decide to postpone the term for holding its annual general meeting (with a maximum extension period of four months).
